What you agree to when you buy from Kodiac.

1. Who this agreement binds

These terms are between you and Kodiac biolabs. They apply when you create an account, when you pass the researcher attestation, and when you place an order. If you are agreeing on behalf of an institution or a company, you confirm that you are authorised to bind it.

If you do not agree, do not order. That is the whole of it.

2. Research use only. This is the term that matters.

Everything Kodiac sells is supplied strictly for laboratory research use. Nothing we sell is a drug, a food, a dietary supplement, a cosmetic, or a medical device. Nothing we sell is intended for human or veterinary consumption, and nothing we sell may lawfully be administered to a human or an animal.

By placing an order you make each of the following statements, and you make them as a condition of the sale:

• I am at least 21 years of age.
• I am acquiring these compounds for in vitro or in vivo research purposes only, not for human or veterinary consumption.
• I will not ingest, inject, inhale, apply, or otherwise administer these compounds to any human or animal.
• The laws of my jurisdiction permit the purchase of research compounds. I will not resell, relabel, or redistribute. I am solely responsible for compliance with applicable local, state, and federal law.

These four statements are the basis on which Kodiac agrees to sell to you. If any of them is untrue at the time you order, you are not permitted to order, and the sale is voidable by us.

3. No medical or dosing guidance, ever

Kodiac does not provide dosing information, administration routes, protocols, reconstitution directions for human use, or any other guidance that would support use in a person. We will not provide it if you ask. Our monographs, certificates of analysis and technical documentation describe chemistry, identity, purity, mechanism and the published literature. They are reference material for researchers, not instructions.

Statements on this site have not been evaluated by the U.S. Food and Drug Administration. Nothing here is intended to diagnose, treat, cure, or prevent any disease. Kodiac biolabs is not affiliated with the FDA.

4. Eligibility and your account

You must be at least 21 years old and legally able to enter a contract. An account is required to order. You are responsible for the accuracy of what you enter, for the security of your credentials, and for everything done through your account.

We deliberately do not require you to prove an institutional affiliation or upload credentials. That is a privacy decision, explained on the account creation page, and it does not soften anything in section 2. The attestation is the control, and it is binding precisely because we are not collecting a credential in its place.

We may refuse, limit, or cancel any order, and may close an account, where we believe these terms have been breached or where a sale would be unlawful. We do not have to explain the decision, and refusing a sale is always available to us.

5. What you may not do

• Administer any compound to a human or an animal, or supply it to anyone who intends to.
• Resell, relabel, repackage, or redistribute anything bought from Kodiac.
• Represent Kodiac material as fit for human use, or make therapeutic claims about it.
• Order from, or arrange shipment into, a jurisdiction where the compound is controlled or prohibited.
• Use Kodiac documentation, monographs or certificates to market a product for human use.

6. Orders, pricing and availability

An order is an offer to buy. The contract forms when we accept it, and we may decline before shipment. Prices and availability can change without notice. Where an obvious pricing or description error appears, we may cancel and refund rather than fulfil, and we will tell you when we do.

Payment is taken through the rails offered at checkout at the time you order. Where a payment method requires confirmation before dispatch, the order ships once payment has cleared.

7. Shipping, storage and risk

Delivery estimates are estimates, not guarantees. Risk of loss passes on delivery to the address you supply. You are responsible for giving an address where a shipment can actually be received, and for storing material correctly on arrival according to the conditions stated for that product.

Tell us within a reasonable time if a shipment arrives damaged, short, or in a condition inconsistent with its documentation, and keep the packaging until the issue is resolved.

8. Documentation

Lot documentation, including vendor certificates of analysis and any supporting analytical records we publish, describes the lot it names. It is supplied so you can verify what you received. It is not a warranty of fitness for any application, and it is not a representation that the compound is suitable for use in a person, because no such use is permitted.

9. Privacy

We collect the minimum an order requires: an email address, and the details needed to ship and to take payment. We do not build a profile of your research. We do not sell customer data. Our privacy practices are described in the privacy policy published on this site.

10. Warranties and liability

Material is supplied as described in its documentation. To the fullest extent the law allows, Kodiac disclaims all other warranties, express or implied, including merchantability and fitness for a particular purpose.

To the fullest extent the law allows, Kodiac is not liable for indirect, incidental, special, consequential or punitive damages, and our total liability arising from any order is limited to the amount you paid for that order.

Nothing in these terms limits liability that cannot lawfully be limited.

11. Indemnity

You agree to indemnify Kodiac biolabs against claims, losses and costs arising from your breach of these terms, and in particular from any administration of Kodiac material to a human or an animal, or any onward supply of it.

12. Governing law

These terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict of laws rules.

13. Changes

We may revise these terms. The revision date below changes when we do, and the version in force is the one published here when you place your order. A material change will be reflected here before it applies to new orders.
